Installation License Agreement

Legal Notice from txtSnatch Software Corporation: This is a legal agreement (the "Agreement") between you and txtSnatch Software Corporation. It is important that you read this Agreement before downloading or installing the txtSnatch Software Corporation software. By downloading or installing the software or in taking such other action as may be referenced in this Agreement, you are agreeing to all the terms of this Agreement. If you do not agree with the terms of this Agreement do not download or install the software; instead, return it to txtSnatch Software Corporation or to the place where you acquired it for a refund if purchased.

The application program included in this shipment, download or installation is the Txt Snatch™ software product ("The Product") which is a product of txtSnatch Software Corporation.

In this agreement, "you" or "user" or "licensee" refers to the person or entity that has purchased the right to use and/or has received an edition of The Product.

PLEASE READ THIS NOTICE CAREFULLY

You have purchased or have received the right to use an edition of The Product. The use of The Product is restricted to end users who purchased a commercial edition of The Product or have received a free yet limited edition of The Product from txtSnatch Software Corporation or one of its subsidiaries or authorized dealers or resellers. If this does not apply to you, please return the complete program package to the place where you acquired it to obtain a refund or exchange if purchased. Downloading or installing The Product constitutes acceptance of this Agreement under applicable law, and upon doing so, you will be subject to all the terms of this Agreement. If you do not accept the terms of this Agreement, do not download or install The Product. If at any time you violate the terms of this Agreement, then your license to use The Product will terminate.

The Product is copyrighted and is therefore protected by the Copyright Law of New Zealand and international treaty provisions. The effect of such laws and treaties is that you may not use The Product except as permitted by this Agreement. You are not to modify, adapt, translate, reverse engineer, decompile, or disassemble The Product or attempt to discover its source code. You may not distribute or transfer the software or copies to third parties without the written agreement of txtSnatch Software Corporation. You agree to notify your employees and agents who may have access to the software of the restrictions contained in this Agreement and to insure their compliance with these restrictions.

If this software is an upgrade of a version of The Product that you previously acquired, you have not acquired two different rights to use this software and its earlier version; this upgrade and the earlier version together constitute just one licensed copy of The Product.

IF YOU HAVE ACQUIRED A FLOATING LICENSE, The Product may be installed on a network and used by multiple users, provided that no more than one user is using The Product at any point in time. If multiple Floating Licenses of The Product are purchased, the total number of users using The Product at any point in time may not exceed the total number of Floating Licenses purchased.

LIMITED WARRANTY. txtSnatch Software Corporation warrants only that the media and related documentation containing The Product delivered to its customer are free from defects in materials and workmanship for a period of thirty (30) days from the date of purchase. txtSnatch Software Corporation`s liability hereunder is limited to an obligation to its customer to replace during the warranty period any defective media containing The Product, which remedy shall be txtSnatch Software Corporation`s only obligation.

DISCLAIMER. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE SOFTWARE AND ANY DOCUMENTATION ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF PERFORMANCE OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. USER BEARS ALL RISK RELATING TO QUALITY AND PERFORMANCE OF THE SOFTWARE.

IN NO EVENT SHALL TXTSNATCH SOFTWARE CORPORATION BE LIABLE FOR ANY LOSS OF PROFIT OR LIFE OR ANY OTHER COMMERCIAL DAMAGE, INCLUDING BUT NOT LIMITED TO SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR OTHER DAMAGES. TXTSNATCH SOFTWARE CORPORATION SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR USE OR PURPOSE RELATED TO DEFECTS IN THE PRODUCT.

GOVERNMENT RIGHTS: If The Product is licensed by or on behalf of a unit or agency of the United States government, the licensee agrees that The Product is "commercial computer software" or "commercial computer software documentation" and that, absent a written agreement to the contrary, the licensee`s rights with respect to The Product are limited by the terms of this Agreement.

GENERAL: This Agreement contains the entire agreement between the parties with respect to The Product. Neither this Agreement nor the license granted hereby is assignable or otherwise transferable by the Customer without prior written consent of txtSnatch Software Corporation. This License Agreement is entered into and is to be performed under New Zealand law. This License Agreement shall be governed by and construed under the laws of New Zealand.
