DEMMEL PRODUCTS - SOFTWARE LICENSE AGREEMENT

Please read the following carefully before downloading or using the Software. By using the Software, you agree to be committed to the terms of this Agreement. If you do not agree with the terms of the Agreement, do not install, download or use the Software. By clicking on the "Accept" button, or by opening the Software package, you agree to be committed to the terms of this agreement, click "Decline" to terminate the installation.

License

If I purchase a license of the Software Herbert Demmel ("demmel products") grants me a non-exclusive right and license to use the Software and the related documentation. I agree that the Software will only work in full mode and without any restrictions after I have registered the Software and received the confirmation message enabling the program to complete the registration process. If I obtain an evaluation copy of the Software, but have not purchased a license , demmel products grant me a 30-day non-exclusive license to use the Software free of charge for the purpose of evaluating. I only may use the Software on a single computer. I may make a single copy of the Software for backup and archival purposes provided that any copy must contain all proprietary notices included in the original. I own the media on which the Software is stored, but not the Software itself or any copy of it. This license is not a sale of the original or any copy of the Software.

Warranty Disclaimers

The Software, the evaluation Software and the related documentation are provided on an "AS IS" basis, without warranty of any kind, including without limitation the warranties that the Software and Evaluation Software are free of defects, merchantable, fit for a particular purpose or non-infringing. The entire risk as to the quality and performance of the Software and Evaluation Software is borne by the customer. Should the Software or Evaluation Software prove defective in any respect, the licensor or its suppliers do not assume the cost of any service or repair, maximum amount of refund is the purchase price of the license.

General

In no event shall demmel products be liable to any party for direct, indirect, special, incidental, or consequential damages arising out of the use of this Software and its documentation, even if the author has been advised of the possibility of such damage.

Copying, Transferring or Modifying Software

I acknowledge that the Software contains copyrighted material, trade secrets and other proprietary information of demmel products and its licensors. I may not permit concurrent use of the Software unless each user has an applicable license. Except to the extent expressly permitted by this Agreement or by the laws of the jurisdiction where I am located, I may not decompile, disassemble or otherwise reverse engineer the Software, or engage in any other activities to obtain underlying information that is not visible to the user in connection with normal use of the Software. I may not copy, transfer, transmit, sublicense or assign this license or the Software except as expressly permitted in this Agreement.

Governing Law and Interpretation

This Agreement shall be interpreted under and governed by the laws of Austria. If any provision of this Agreement is held illegal or unenforceable by a court the remaining provisions of this Agreement shall remain in effect and the invalid provision deemed modified to the least degree necessary to remedy such invalidity.

Termination

If I purchase a license of the Software, this Agreement and license are effective from the time I accept the terms of this Agreement until this Agreement is terminated. I may terminate this Agreement at any time by destroying all copies of the Software. This Agreement will terminate immediately and without further notice if I fail to comply with any provision of this Agreement. All obligations of confidentiality and restrictions on use, and all other provisions that may reasonably be interpreted to survive termination of this Agreement, will survive termination of this Agreement for any reason. Upon termination, I agree to destroy all copies of the Software. If I have obtained an evaluation copy and evaluation license of the Software, and have not purchased a license to the Software, this Agreement and license are effective for a period of 30 days from the date of clicking the "Accept" button.
