License Agreement
This software product is distributed under one of two different licenses. The user has a trial period during which he decides whether he needs the software. After the trial period is over, if the user wants to continue using this software (or third-party software incorporating this one), he must purchase one of the two licenses.
You should carefully read the following terms and conditions before using this software. Unless you have a different license agreement signed by HHD Software your use of this software indicates your acceptance of this license agreement and warranty.
OEM License
If you obtained this license agreement with the Software product, you are entitled to use it as a part of the Hard and Software packages according to this license agreement.
Definitions:
"Derivative Work(s)"
means a revision, modification, translation, abridgment, condensation or expansion of HHD Software Product or Documentation or any form in which an HHD Software Product or Documentation may be recast, transferred, or adapted, which, if prepared without the consent of HHD Software, would be a copyright infringement.
Object Code
refers to the form of the Program which is expressed in a Machine Code and which relies on the Services of a specific Operating Environment. Object Code is typically produced from Source Code by use of a compiler or assembler. Object Code remains such whether or not linked with any libraries or other Object Code.
Licensed Material
means that portion of Product or Product as a whole, as specified exactly, to which a License is being granted.
Sublicense
is a license granted by Customer to a third party, pursuant to the conditions of a valid OEM License held by Customer.
Grant of Licenses and Rights
An OEM License entitles Customer (the Licensee) to sublicense portions of the Product or Derivatives thereof, to be used only on hardware or software sold by Customer, subject to the conditions set forth in this license.
You may reproduce and distribute the Software only as an integral part of or incorporated in your software or hardware product or as a standalone Software maintenance update for existing end users of your products, excluding any other standalone products, subject to these conditions:
· The software products purchased through an OEM License may be incorporated into software and hardware sold by Customer, or may be provided as components of HHD Software products to accompany software and hardware sold by Customer.
· Components or software as a whole may be converted to Object Code form. Such Object Code may be incorporated into software or hardware sold by Customer.
General (Proprietary Rights)
Title to and ownership of all copies of the HHD Software products and documentation whether in machine-readable or printed form, and including, without limitation, Derivative Works, compilations, or collective works thereof and all related technical know-how and all rights therein (including without limitation rights in patents, copyrights, and trade secrets applicable thereto), are and shall remain the exclusive property of HHD Software. The Customer shall not take any action to jeopardize, limit or interfere in any manner with HHD Software`s ownership of and rights with respect to the HHD Software products and documentation.
Licensee shall retain in strict confidence the Licensed Software and use the Licensed Software only as expressly licensed herein. Licensee agrees that it will under no circumstances distribute or in any way disseminate or disclose the Licensed Software to third parties, except as expressly provided in this Agreement.
HHD Software and the Customer agree to keep confidential and not to disclose or make available to any third party Confidential Information received from the other in any form without the express written approval of the other. Each party agrees not to use such Confidential Information except to the extent necessary to perform under this Agreement, and neither party shall intentionally circulate the Confidential Information of the other party within its own organization except to those with a specific need to know.
Single Developer License
You should carefully read the following terms and conditions before using this software. Unless you have a different license agreement signed by HHD Software your use of this software indicates your acceptance of this license agreement and warranty.
Single Developer License provides rights for using the HHD Software USB Monitoring Control (USBMC) in your software and entitles you to a single copy of the Software for development purposes. You have to purchase as many licenses as there are developers working on the project that requires the USBMC. The resulting product can only be used by the original owner of the USBMC. If the original owner of the USBMC is a company, the resulting product can be used inside the company at no additional charges by any number of users. The product, however, cannot be used outside of the company, distributed with its products or services, delivered on user demand etc., unless the OEM License is purchased.
The license is granted per ONE PC / ONE USER only, which means that it is not permissible for the same developer to install more than one copy of the Software. There are no limitations on the purpose and usage conditions of the user`s software, which is developed with the legally obtained royalty-free Software license.
UNDER NO CIRCUMSTANCES IT IS PERMISSIBLE TO DISTRIBUTE THE UNLOCKING INFORMATION OF THIS SOFTWARE TO END USERS.
Disclaimer of Warranty
THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. Because of the various hardware and software environments into which the software may be put, NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED.
Good data processing procedure dictates that any program be thoroughly tested with non-critical data before relying on it. The user must assume the entire risk of using the program. ANY LIABILITY OF THE SELLER WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF PURCHASE PRICE.
Any use of the program which is illegal under international or local law is forbidden by this license. Any such action is the sole responsibility of the person committing the action.
