End User License Agreement (EULA)
IMPORTANT - READ CAREFULLY:
This end user license agreement ("LICENSE") is a legal agreement between you (either an individual or a legal entity) and EventHelix.com Inc. for the software product identified above, which includes computer software, electronic and printed documentation, associated media and printed materials ("SOFTWARE").
Read this LICENSE carefully before using the SOFTWARE. By installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms and conditions of this LICENSE. If you do not agree to the terms of this LICENSE, you are not authorized to use the SOFTWARE.
LICENSE
The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. This LICENSE contains rights and restrictions associated with use of the accompanying SOFTWARE.
1. RIGHTS:
A. Installation & Use:
EventHelix.com Inc. grants you a non-exclusive and non-transferable limited LICENSE to use the SOFTWARE by the number of users and the class of computer hardware for which the corresponding license fees and payments have been made. For every licensed user, you may install the SOFTWARE on the local hard disk or other permanent storage media of one (1) computer. Any other use is strictly prohibited.
B. Evaluation :
This is not free software. Subject to the terms and conditions of this LICENSE, "EventHelix.com Inc" grants you the limited right to use the SOFTWARE for evaluation purposes without charge for a period of 45 days. If you use the SOFTWARE after the 45 day evaluation period you must pay the license fees and register the SOFTWARE. Unregistered use of the SOFTWARE after the 45 day evaluation period is in violation of U.S. and international copyright laws.
2. RESTRICTIONS & LIMITATIONS:
A. Reverse Engineering, De-compilation, and Disassembly:
You may not translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the SOFTWARE, except when and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
B. Separation of Components:
The SOFTWARE is licensed as a single product. Its component parts may not be separated. You must maintain all copyright notices on all copies of the SOFTWARE.
C. Rental:
The SOFTWARE may not be leased, assigned or sublicensed, in whole or in part, except as specifically authorized by EventHelix.com Inc.
D. No Server Based Access:
The SOFTWARE may not be installed on an intranet or internet server, except as specifically authorized by "EventHelix.com Inc".
The SOFTWARE may not be installed on a network drive, except as specifically authorized by EventHelix.com Inc.
4. DISCLAIMER OF WARRANTY & LIABILITY:
A. Disclaimer of warranty:
SOFTWARE is provided "AS IS," without a warranty of any kind. All express or implied representations and warranties, including and implied warranty of merchantability, fitness for a particular purpose or non-infringement, are hereby excluded.
B. Disclaimer of liability:
In no event will EventHelix.com Inc. be liable for any lost revenue, profit or data, or for direct, indirect, special, consequential, incidental or punitive damages, however caused and regardless of the theory of liability, relating to the use, download, distribution of or inability to use SOFTWARE, even if EventHelix.com Inc. has been advised of the possibility of such damages.
5. TERMINATION:
Without prejudice to any other rights, EventHelix.com Inc. may terminate this LICENSE if you fail to comply with the terms and conditions of this LICENSE. In such event, you must destroy all copies of the SOFTWARE and all of its component parts.
6. COPYRIGHT:
SOFTWARE is confidential copyrighted information of the EventHelix.com Inc. and title to all copies is retained by the EventHelix.com Inc. All title and copyrights in and to the SOFTWARE and any copies thereof are owned by EventHelix.com Inc. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties.
The syntax and grammar of the Feature Description Language (FDL) is copyrighted information of the EventHelix.com Inc.
7. EXPORT REGULATION:
None of the SOFTWARE or underlying information or technology may be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department`s list of Specially Designated Nationals or the U.S. Commerce Department`s Table of Denial Orders. By downloading or using the SOFTWARE, you are agreeing to the foregoing and you are representing and warranting that you are not located in, under the control of, or a national or resident of any such country or on any such list.
