NOTICE TO USER: THIS IS A LEGAL CONTRACT BETWEEN YOU AND CANDLELIGHT SOFTWARE. YOU SHOULD CAREFULLY READ AND ACCEPT ALL THE TERMS AND CONDITIONS SET FORTH IN THIS DOCUMENT BEFORE USING ALL OR ANY PORTION OF THIS SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS LICENSE AND ALSO AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU.
Candlelight Software owns all intellectual property in the Software. Upon your acceptance of this Agreement and as long as you comply with the terms and conditions of this Agreement, Candlelight Software grants to you right to install this Software product on a single computer.
DEFINITIONS:
"The Software" means Candlelight Favorites Inspector and related documentation, including all updates.
"You," and "Your" refer to any person or entity using this Software.
"Documentation" means explanatory materials supplied with the Software or made available online on Candlelight Software`s Web pages related to the Software.
"End User" means a licensee of software products who acquires such products for use rather than distribution or resale.
LICENSE OF SOFTWARE
Candlelight Software grants you a non-exclusive and nontransferable license to use this Software on a single computer.
RESTRICTIONS
You may not distribute, sell, sublicense, rent, loan, or lease the Software, and/or any component thereof to any third party. You agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software and/or any component thereof.
You agree that you will not create, develop or use any program, software or service utilizing any or all of this Software or its technology.
TERMS
This Agreement is effective until terminated. Candlelight Software has the right to terminate this Agreement immediately if you fail to comply with any term of this Agreement. Upon any such termination, you must destroy all full and partial copies of the items in the Software immediately and discontinue any use of this Software.
COPYRIGHT
The Software is owned by Candlelight Software, and is protected by copyright laws of the United States and related applicable laws.
REGISTRATION
You may be required to register your copy of the Software to obtain the product full release and update notices, supporting services and upgrade information. This registration obligation is further described in the documentation.
LICENSED SOFTWARE (S) - "AS IS"
THE SOFTWARE IS PROVIDED AS IS. CANDLELIGHT SOFTWARE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO MERCHANTABLE QUALITY, NONINFRINGEMENT OF THIRD PARTY RIGHTS, FITNESS FOR A PARTICULAR PURPOSE, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE. THE ENTIRE RISK AS TO THE QUALITY, RESULTS BY USING THE SOFTWARE, AND PERFORMANCE OF THE SOFTWARE (S) IS WITH THE END USER.
LIMITATION OF REMEDIES AND LIABILITY
CANDLELIGHT SOFTWARE SHALL NOT UNDER ANY CIRCUMSTANCE BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF CANDLELIGHT SOFTWARE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.
GENERAL
This Agreement shall be construed, interpreted, and governed by the laws of the United States, excluding the application of its conflicts of law rules. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the rest of the Agreement, which shall remain valid and enforceable according to its terms. You may not ship, transfer, or export the Software into any country or used in any manner prohibited by any export laws, restrictions or regulations.
ENTIRE AGREEMENT
You acknowledge that you have read this Agreement, understand it and agree to be bounded by its terms and conditions. It is the complete and exclusive statement of the Agreement between us which supersedes any proposal or prior agreement, oral or written, and other communication between us relating to the subject matter of this Agreement.
RESERVATION OF RIGHTS
All rights not expressly granted in this Agreement are reserved by Candlelight Software.
