GRANTOFLICENSE
SubjecttoyouragreementandcompliancewiththetermsandconditionsofthisLicense,iolograntsyoualimited,personal,non-exclusiveandrevocablelicensetousetheSoftware.
FORPERSONALUSE,THISLICENSEGIVESYOUTHERIGHTTO:
InstalltheSOFTWARE(i)onaharddiskorotherfixedstoragemediumofcomputersordevicesthatyou,yourspouseorregistereddomesticpartner,oryourfamilyrelatives(definedasindividualsthatarerelatedtoyou,yourspouseordomesticpartnereitherbyaffinityorconsanguinitywithinthethirddegree,orinasteporadoptiverelationshipwithinsuchthirddegree)thatsharethesameprimaryresidencewithyou(collectivelyreferredtohereinas"FamilyUsers"),ownandcontrol,
.UsetheSOFTWAREsolelyonsuchcomputersordevicesforPersonalUse(asthistermisdefinedbelow)andnotforanyotherpurposeorusewhatsoever,
.MakeoneadditionalcopyoftheSOFTWAREsolelyforthepurposesofback-uptotheinstalledSOFTWARE.
ForthepurposeofthisLicense:
"PersonalUse"meanstheuseoftheSOFTWAREsolelybyFamilyUsersandexcludesanyCommercialUse(asthistermisdefinedbelow),volume-baseduseorhosting/storage/networkuseforthebenefitofotherpersonsotherthanFamilyUsers.
"CommercialUse"meansanyuseoftheSOFTWAREbyoronbehalfoforwithinthecontextofanybusiness,company,soleproprietorship,corporation,partnership,organization,institutionorgovernmentalentity,whetherincorporatedornot,andwhetherforprofitornot.
FORCOMMERCIALUSE,THISLICENSEGIVESYOUTHERIGHTTO:
.SolelyuponyouractivationofalicenseforCommercialUse,evidencedbyasalesreceiptorapplicabletransactiondocumentationfromanauthorizeddistributororresellerfromwhichyoulegallyobtainedtheSOFTWARE(“CommercialUseDocumentation”),install,theSOFTWAREontheharddiskorotherfixedstoragemediumof,andusetheSOFTWAREon,uptofive(5)computersordevices(orsuchlargernumberofcomputersthatmaybespecifiedwithintheCommercialUseDocumentation)thatyouoryourorganization,business,company,soleproprietorship,corporation,partnership,organization,institutionorgovernmentalentity,ownandcontrol(an“EnterpriseComputer”).Fortheavoidanceofdoubt,anycomputerordevicethatmaybenefitfromtheSOFTWAREthroughanynetworkorotherconnectiontothecomputerortheharddiskorotherfixedstoragemediumonwhichtheSOFTWAREisinstalledwillcountasoneoftheforegoingfive(5)(orlargernumberof)authorizedcomputers,andnocomputermaysobenefitfromtheSOFTWAREthatisnotanEnterpriseComputer;
.MakeoneadditionalcopyoftheSOFTWAREsolelyforthepurposesofback-uptotheinstalledSOFTWARE.
ForthepurposeofthisLicense:
"CommercialUse"meansanyuseoftheSOFTWAREbyoronbehalfoforwithinthecontextofanybusiness,company,soleproprietorship,corporation,partnership,organization,institutionorgovernmentalentity,whetherincorporatedornot,andwhetherforprofitornot.
RESERVATIONOFRIGHTS,REQUIREMENTS,RESTRICTIONS,ANDLIMITATIONS
ReservationofRights.ThelicensegrantsabovearetheonlyrightsgrantedtoyouinconnectionwiththisLicenseandyouruseoftheSOFTWAREandanyandallrightsnotexpresslygrantedtoyoubythelicensegrants,ioloexpresslyandfullyreserves.OtherthanthoselicenserightsgrantedtoyouinthisLicenseorforbackuporarchivalpurposesspecificallypermittedbylaw,youmaynotuseormakeanyothercopiesoftheSOFTWARE.
Storage/NetworkUse.YoumaynotusetheSOFTWAREoveranetworkordistributetheSOFTWAREtoothercomputersoveranetworkunlessyouhavealicensedcopyoftheSOFTWAREforeachcomputerthatcanaccesstheSOFTWAREoverthatnetwork,exceptasspecificallydescribedindocumentationprovidedwiththeSOFTWARE.
NoReverseEngineering,Decompilation,andDisassembly.Youarenotpermittedtotamperwithorattempttobypass,modify,defeatorotherwisecircumventtheoperationoftheSOFTWAREoralter,reverseengineer,decompile,disassembleorotherwiseattempttodiscoverordisclosetheSOFTWAREsourcecodeorunderlyingprogramming.
SeparationofComponents.TheSOFTWAREislicensedasasingleproduct.Youmaynotseparateitscomponentpartsunlessexpresslyauthorizedbyiolo.
DataFiles.TheSOFTWAREmaycreatedatafilesautomaticallyforusewiththeSOFTWARE.AnysuchdatafileswillbedeemedpartoftheSOFTWARE.
TransferofLicense.YoumaypermanentlytransferyourlicensetoSOFTWAREtoanotherperson,firmorenterpriseprovidedthat:
.YoudonotkeepanycopiesofSOFTWARE;and
.Thenewperson,firmorenterpriseacceptsthetermsofthisLicense.
IfyoutransfertheSOFTWAREasauthorizedabove,then:
.IncaseofaPersonalUse(asdefinedabove),neitheryounoranyofyourFamilyUsersmaykeepanycopiesoftheSOFTWARE,andtheSOFTWAREmaybetransferredonlyforusebyonepersonandtheFamilyUserswithrespecttothatperson.Foravoidanceofdoubt,onlyoneFamilyUsermaytransfertheSOFTWARE,and,oncetheSOFTWAREistransferredbyanyFamilyUser,nootherFamilyUserhasanyrightundertheLicense;
IncaseofaCommercialUse(asdefinedabove),theSOFTWAREmustbedeletedfromallEnterpriseComputers,andtheSOFTWAREmaybetransferredforusebyonlyasingleorganization,business,company,soleproprietorship,corporation,partnership,organization,institutionorgovernmentalentityonthenumbersetforthintheCommercialUseDocumentationofcomputersownedandcontrolledthereby.
NoPartialTransferofLicense.PartialtransferofyourrightsunderthisLicenseisnotpermitted.Forexample,iftheapplicabledocumentationgrantsyoutherighttousemultiplecopiesoftheSOFTWARE,onlyatransferoftherighttouseallsuchcopiesoftheSOFTWAREwouldbevalid.Additionally,theuseoftheSOFTWAREaspartofafacilitiesmanagement,timesharing,serviceproviderorservicebureauarrangementisnotpermitted.
NoRentalorResale.Youarenotpermittedtodistribute,transmit,sublicense,lease,sellorrenttheSOFTWAREtoanyotherperson,firmorenterprise.
Termination.ioloreservestherighttomonitoryourusagefromtimetotimetoassessanynon-compliancewiththetermsandconditionsoftheLicense,asdescribedinmoredetailinthesectionbelowentitled(“SOFTWAREDATACOLLECTIONANDMONITORING”).Withoutprejudicetoanyotherrights,iolomayterminatethisLicenseifioloreasonablybelievesthatthetermsandconditionsoftheLicensehavebeenviolatedinanyway.
Insuchevent,youmuststopalluseoftheSOFTWAREandyoumustdestroytheSOFTWAREandallcopiesoftheSOFTWAREandallofthecomponentpartsthereof.
Confidentiality.YouagreetokeepinformationcontainedintheSOFTWAREthatisnotpubliclyknownconfidentialtoyourselfandtonotdisclosesuchinformationtootherswithoutiolo`spriorwrittenapproval.
DependentSoftware.Thesoftware,networkservices,orotherproductsotherthantheSOFTWAREuponwhichtheSOFTWARE`sperformancedependsmightbeinterruptedordiscontinuedatthediscretionofthesuppliers(softwaresuppliers,serviceproviders,oriolo).ioloanditssuppliersdonotwarrantthatthoseSOFTWAREproducts,networkservices,orotherproductswillcontinuetobeavailableorthattheywilloperatewithoutinterruptionormodification.
COPYRIGHT
AlltitleandcopyrightsinandtotheSOFTWARE(includingbutnotlimitedtoanyimages,photographs,animation,video,audio,music,text,"applets"orothercontentormaterialscontainedand/orincorporatedtherein)andanycopiesthereof,areownedbyioloand/oritssuppliers.
USEOFSOFTWAREWITHCOPYRIGHTEDMATERIALS
TheSOFTWAREmaybeusedbyyoutostore,process,andusecontentcreatedbyyouandthirdparties.Suchcontentmaybeprotectedbycopyright,
otherintellectualpropertylaws,and/oragreements.YouagreetousetheSOFTWAREonlyincompliancewithallsuchlawsandagreementsthatapplytosuchcontent.Youfurtheragreethatiolomaytakeappropriatemeasurestoprotectcopyrightsorcontentstored,processed,orusedbytheSOFTWARE.Suchmeasuresinclude,butarenotlimitedto,countingthefrequencyofyourbackupandrestorationactivitiesthroughcertainSOFTWAREfeatures,refusaltoacceptyourrequesttoenablerestorationofdatabasedoninformationfromcertainSOFTWAREfeatures,andterminationofthisLicenseintheeventofyourillegitimateuseoftheSOFTWARE.

TheSOFTWAREisprovidedwithRESTRICTEDRIGHTS.Anyuse,duplication,ordisclosurebytheUnitedStatesGovernmentissubjecttorestrictionsassetforthinsubparagraph(c)(1)and(2)oftheCommercialComputerSoftware-RestrictedRightsat48CFR52.227-19,asapplicable.Themanufacturerisiolotechnologies,LLC,7470NorthFigueroaStreet,LosAngeles,CA,90041.
REPLACEMENTOFDEFECTIVECD-ROMMEDIA
Insituationswhereaback-upcopyoftheSOFTWAREisfurnishedtoyoubyioloonCD-ROMmedia,asyoursoleandexclusiveremedy,foraperiodofninety(90)daysfromthedateofitsdeliverytoyoutheCD-ROMmediaonwhichtheback-upcopyoftheSOFTWAREisfurnishediolowillreplaceanydefectiveCD-ROMmediausedunderconditionsofnormaluse.Aprocessingfeemayberequiredifphysicalmediaisshippedtotheoriginallicensee.
Thisremedyextendsonlytoyouastheoriginallicenseeandrepresentsiolo`sentireliabilityandyoursoleandexclusiveremedy.DefectiveCD-ROMSmustbereturnedtoiolowithinthe90-dayperiodwithproofofpurchaseintheformofabillofsale(whichisevidencethattheCD-ROMmediaiswithinthewarrantyperiod).iolowillhavenoobligationtoreplaceadisk,which,initsreasonabledetermination,hasbeendamagedbyaccident,abuseormisapplication.

Youagreetodefendiolo,itsaffiliatesanditsand/ortheirrespectivesuccessorsandassigns,aswellastheirrespectiveofficers,directors,employees,agents,licensors,representatives,operationalserviceprovidersandsuppliersagainstanyandallclaims,demandand/oractionsandindemnifyandholdiolo,itsaffiliatesanditsand/ortheirrespectivesuccessorsandassigns,aswellastheirrespectiveofficers,directors,employees,agents,representatives,suppliers,licensorsandcontractorsharmlessfromandagainstanyandalllosses,damages,costsandexpenses(includingreasonableattorneys`fees),resultingfromyourbreachorviolationofthisLicense,infringement,misappropriationoryourviolationoftherightsofanyotherparty,yourviolationornon-compliancewithanylaworregulation,oryouralterationorexportoftheSOFTWARE.ioloreservestherighttoassume,atitsexpense,theexclusivedefenseandcontrolofanyclaimsoractionsandallnegotiationsforsettlementorcompromise,andyouagreetofullycooperatewithiolouponitsrequest.
SOFTWAREDATACOLLECTIONANDMONITORING
TheSOFTWAREcontainsfeaturesthatallowioloand/orthirdpartiestocollectdatafrom,control,and/ormonitorcomputersanddevicesrunningorinteractingwiththeSOFTWAREinordertopreventunlicensedorillegaluseoftheSOFTWARE.TheSOFTWAREmaycontainenforcementtechnologythatimposeslimitsontheabilitytoinstallanduninstalltheSOFTWAREtonotmorethanafinitenumberoftimesonafinitenumberofmachines.TheSOFTWAREcontainingenforcementtechnologyrequireslicensingassetforthduringtheinstallationprocessandinthedocumentation,andtheSOFTWAREmayonlyoperateforafiniteperiodoftimepriortolicensingbytheuser.IfyoudonotcompletelicensingduringthefinitetimeperiodsetforthinthedocumentationoraspromptedbytheSOFTWARE,theSOFTWAREwillceasetofunctionuntillicensingiscomplete.UnderthisLicense,youherebyagreethattheactivitiesdescribedabovemayoccur.
Inordertoimproveproductsandservices,iolomayreceiveinformationfromyourcomputeraboutyourcomputerandaboutoperationsperformedonyourcomputerbytheSOFTWARE.iolowillnotprovideinformationspecificallyaboutyourcomputertoanyoneotherthanyouwithoutyourconsent.However,iolomayaggregatethedatareceivedfromyourcomputerwithdataioloreceivesfromotherusers,andiolomayuseordisclosethataggregateddatawithoutconsent.
UPDATES
iolomayfromtimetotimeprovideyouwith(ormakeavailabletoyou)updates,patches,errorcorrectionsornewormodifiedversionsfororoftheSOFTWARE(collectivelyreferredtoas“Updates”).IfioloprovidesyouwithanyUpdateormakesanyUpdateavailabletoyou,then,unlessthatUpdateissuppliedwithawrittenlicenseagreement,itwillbedeemedpartoftheSOFTWAREsubjecttothisAgreement.YouacknowledgeandagreethatnothinginthisAgreementobligatesiolotocreateanyUpdates.Further,evenifiolodoescreateanyUpdates,nothinginthisAgreementobligatesiolotoprovideormakeavailabletoyouanysuchUpdates,exceptasprovidedinthefollowingparagraph.
MAINTENANCE
iolo`sserviceofprovidingUpdates(ormakingUpdatesavailable)tousersoftheSOFTWAREiscalled“Maintenance”or“Service”withrespecttotheSOFTWARE.YouareautomaticallyentitledtoreceiveMaintenance(andhencereceiveorhaveaccesstoanygenerallyreleasedUpdates)foralimitedperiodoftimeafteryoulicensetheSOFTWARE.ThatperiodofMaintenanceisspecifiedonthepackagingfortheSOFTWARE,onmaterialsincludedinsuchpackagingoronthepagesofiolo’sWebSitethatrelatetolicenseordownloadoftheSOFTWARE.iolomay,butisnotobligatedto,offertoreneworextendyourperiodofMaintenancefortheSOFTWARE,forafee,atiolo’sWebSiteorbyothermeans.Youacknowledgeandagreethat(i)UpdatesmaydeleteorchangefeaturesorotheraspectsoftheSOFTWARE,includingfunctionsyoumayrelyupon;(ii)certainUpdatesmaybenecessarytoallowyoutocontinuetousesomeorallofthefeaturesoftheSOFTWARE,sotheSOFTWAREmaynotbeusefultoyouwithoutMaintenance;and(iii)althoughyouwillbeentitledduringyourperiodofMaintenancetoreceiveanyUpdatesthatiolocreatesandgenerallyreleasestoitscustomerswhothenhaveMaintenance,nothingobligatesiolotocreateorgenerallyreleaseanyUpdatesatanytime,including,butnotlimitedto,duringyourperiodofMaintenance.Youfurtheracknowledgeandagreethat,ifyourperiodofMaintenanceterminatesorisinterrupted,youmaynotbeeligibletorenewMaintenance.
CHANGES
ATTHETIMEOFPURCHASE,THESOFTWAREMAYNOTINCLUDEALL(ORMAYINCLUDEDIFFERENT)FUNCTIONSANDFEATURESTHANADVERTISED.FUNCTIONSANDFEATURESARESUBJECTTOFURTHERCHANGEWITHOUTNOTICEAFTERPURCHASEANDINSTALLATIONBYTHEUSER.ALLUSERSMUSTACCEPTALLCHANGESMADETOSOFTWARE,WHICHMAYINCLUDETHEINABILITYTOCONTINUEUSINGAFEATUREORFUNCTIONIFIOLOELECTSINITSSOLEDISCRETIONTODISCONTINUEIT.
SEVERABILITY
IfanypartofthisLicenseisheldinvalidorunenforceable,theremainingprovisionsofthisLicenseshallbeunimpairedandremaininfullforceandeffect.
GOVERNINGLAWANDJURISDICTION,JURYTRIALWAIVER
ThisagreementshallbegovernedbythelawsoftheStateofCaliforniaandtheUnitedStatesofAmerica,withoutregardtoconflict-of-lawsprovisions.AnydisputesarisingoutofthisLicenseshallbesubjecttotheexclusivevenueofthestateandfederalcourtsofLosAngelesCounty,California,andthepartiesherebyconsenttothevenueandjurisdictionofsuchcourts.THEPARTIESHERETOWAIVETRIALBYJURYWITHRESPECTTOANYMATTERSARISINGUNDERORRELATINGTOTHISLICENSE.IOLORESERVESTHERIGHTTOAMENDTHESPECIFICTERMSOFTHELICENSEREGARDINGTHESOFTWAREATITSSOLEDISCRETIONBYUPDATINGITSPOLICYLOCATEDAThttp://www.iolo.com/eulaORANYOTHERLEGALLYRECOGNIZABLEFORMOFNOTICE.
