Yuzhe Video Converter2010 END-USER LICENSE AGREEMENT Wuhan YuZhe Software Co.,LTD END-USER LICENSE AGREEMENT SOFTWARE PRODUCT(S) IMPORTANT-READ CAREFULLY: This yuzhesoftEnd-User License Agreement ("EULA") is a binding legal agreement between you (either an individual or a legal entity) and YuZhe Software Co. LTD for the YuZhe software product(s). By accepting this EULA OR by downloading, installing, accessing or using any YuZhe software product(s) you will be bound by the terms of this EULA. If you do not agree to the terms of this EULA, yuzhesoft is not willing to license any right to use or sublicense any software product(s) to you. In such event, you may not download, install, access, use or copy any YuZhe software product(s), and you should promptly contact your provider for instructions on how to obtain a refund of fees paid by you, if any. 1. GRANT OF LICENSE: Install and use the Software on a single computer and make one copy of the Software in machine-readable form solely for backup purposes. You must reproduce on any such copy all copyright notices and any other proprietary legends on the original copy of the Software. Install the Software on a storage device, such as a network server, and run the Software on an internal network, provided the number of concurrent users does not exceed the number of copies of the Software purchased. A copy of the Software must be purchased for each such user. If you have purchased a multi-pack license for the Software product, such as a Ten-Pack license, or a license to make multiple installations of the Software, you may concurrently use the number of copies of the Software authorized by that purchase. Make copies of the End-User Product and distribute those copies for use solely by yourself or personnel employed by you, or by another party, solely for its own internal purposes. 2. OTHER RESTRICTIONS You may not make or distribute copies of the Software, or electronically transfer the Software from one computer to another or over a network. You may not recompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form. You may not rent, lease or sublicense the Software. You may not modify the Software or create derivative works based upon the Software. 3. TERMINATION: This License is effective until terminated. Customer may terminate this License at any time by destroying all copies of Software including any documentation. This License will terminate immediately without notice from YuZhe if Customer fails to comply with any provision of this License. Upon termination, Customer must destroy all copies of Software. 4. SUPPORT SERVICES: yuzhesoftprovides tech support services related to the YuZhe SOFTWARE ("Support Services"). Use of Support Services is governed by yuzhesoftpolices and programs described in the user manual, in online documentation, and/or other yuzhesoft-provided materials. Any supplemental software code provided to you as part of the Support Services shall be considered part of the YUZHE SOFTWARE and subject to the terms and conditions of this EULA. With respect to technical information you provide to yuzhesoftas part of the Support Services, yuzhesoft may use such information for its business purposes, including for product support and development. yuzhesoftwill not utilize such technical information in a form that personally identifies you. 5. NO WARRANTIES The YuZhe software is provided "as is" with no warranties whatsoever; YuZhe does not, either expressed, implied or statutory, make any warranties, claims or representations with respect to the YuZhe software, including, without limitation, warranties or conditions of quality, performance, non-infringement, merchantability, or fitness for use for a particular purpose. YuZhe further does not represent or warrant that the YuZhe software will always be available, accessible, uninterrupted, timely, secure, accurate, complete and error-free or will operate without packet loss, nor YuZhe warrant any connection to or transmission from the internet, or any quality of calls made through the YuZhe software. The entire risk arising out of use or performance of the software product remains with you. 6. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, in no event shall yuzhesoft or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the YuZhe SOFTWARE or the provision of or failure to provide Support Services, even if yuzhesofthas been advised of the possibility of such damages. 7. OTHER STIPULATIONS This EULA is governed by the laws of P.R. China.
