Timewatch plc. (Timewatch) are the owners and developers of the software and
grants you the right to use the Software in the quantity licensed. If this
Software is an upgrade from a previous version of a Timewatch product you
may use either the current or prior version of the Software, but never both
versions at the same time. This Agreement supersedes any prior agreement and
governs your use of the Software.
Timewatch does not sell any rights in the Software to you, the end user, but
for the licence fee paid by you grants to you a non-exclusive right to use
the Software only in the quantity licensed to you. For a single-user computer
or workstation not attached to a network server, the software is considered
"in use" when any portion of the Software is either loaded in memory or
virtual memory (Loaded), or stored on a hard disk or other storage device
(Stored). For single-user computers or workstations attached to a network
(Network Stations), the quantity of the Software in use is considered to be
the greater of the maximum number of Network Stations which have the Software
Loaded at any one time and the number of Network Stations which have the
Software Stored. For a multi-user computer, a use is counted for every
session of the software running on the computer.
Restrictions
You may not transfer or lease or supply or permit to be supplied copies of
the Software either physically or electronically or copies of any accompanying
documentation in connection with the Software to any third party without the
prior written consent of Timewatch. You may not decompile, disassemble,
modify or reverse engineer (except as expressly permitted by law), copy,
create a derivative work or otherwise use the Software in any form other that
in accordance with the directions contained in the accompanying documentation.
You may copy the Software in machine readable form only to provide one back-up
copy of the program for your own personal use only.
In the event of your failing to abide by any of the terms of this agreement
you will be in breach of Timewatch`s copyright and other rights in connection
with the Software and you will be liable to legal proceedings and this license
shall automatically on such occasion terminate and you will forthwith destroy
all copies of the Software and Software upgrades and any accompanying documentation.
Limited Warranty / Limitation of Liability
Timewatch warrants that for a period of 90 days rom the date of purchase the
Software will function according to the functions described in the
accompanying documentation but Timewatch does not warrant that the operation
of the software will be uninterrupted or error free. If any materials of
media in this package are defective on delivery, return them to Timewatch
within 90 days of the original date of purchase and Timewatch will replace
them at no charge. THE FOREGOING DOES NOT AND WILL NOT AFFECT YOUR STATUTORY
RIGHTS AS A CONSUMER.
In the event of the Software failing to execute its programming instructions
correctly the sole remedy shall be to return the Software to Timewatch for
replacement and Timewatch will use its best endeavours to correct any errors
in the program. In the event that Timewatch is unable to replace the Software
within a reasonable time you will be entitled to a refund. In any such case
you will destroy all copies of the Software and Software upgrades and any
accompanying documentation.
Timewatch assumes no responsibility whatsoever for the choice of the program
as fixed for your purpose and you are solely responsible for such choice.
Timewatch makes no other warranty expressly implied as to the merchantability,
fitness for purposes or otherwise of the Software other than those that may
be applied by law and may not be excluded as so far as any such warranties
may be excluded they are hereby excluded.
Timewatch plc shall not in any event be liable to you for any loss or damage
of any kind (other than personal injury or death) arising from use of the
Software or accompanying documentation or from errors, deficiencies or faults
therein, whether such loss or damage is caused by negligence or otherwise
even if Timewatch has been advised of the possibility of such damages.
