This License Agreement is a legal agreement between you and TRIUS, Inc. ("DEVELOPER"), developer of the software TiVec ("PRODUCT"). By installing, copying, or otherwise using this PRODUCT, you agree to be bound by the terms of this agreement. If you do not agree to the terms of this license agreement, the DEVELOPER is unwilling to license the PRODUCT to you, in which case you may NOT install, use, copy, or distribute the PRODUCT.
*PRODUCT LICENSE*
This PRODUCT is protected by copyright laws and international treaties, as well as other intellectual property laws. This PRODUCT is licensed, not sold.
(1) GRANT OF LICENSE - This license agreement grants you the following rights:
You may use the evaluation version(s) of the PRODUCT for a 30-day period to evaluate it and determine its applicability to your needs. To use it for any other reason, or beyond the evaluation period, you are required to register (purchase a license to) it. If you elect not to register within the 30 day evaluation period, you must cease using the PRODUCT.
You may install and use one copy of the PRODUCT on your computer. You may store or install a copy onto a second computer, provided there is no simultaneous use of the two copies. You may use the PRODUCT on a network, provided that each person accessing it through the network has a copy licensed to that person, or you have a specific Network license. A license for the SOFTWARE PRODUCT may not be shared or used concurrently on different computers.
You may make a backup copy of the PRODUCT, provided you use it solely for archival purposes.
(2) DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
USE OF PRODUCT. You may not reverse engineer, decompile, or disassemble the PRODUCT. You may not alter any of the files in the package for any reason without express written permission from the DEVELOPER. This includes, but is not limited to, modifying any icons, menus, or displays associated with the PRODUCT.
The PRODUCT is licensed as a single product. Its component parts may not be separated for use on more than one computer.
You may not rent, lease, or sell the PRODUCT. The PRODUCT cannot be bundled with any other software, books, reports, magazines, or other publications or packages without express written permission from the DEVELOPER.
(3) COPYRIGHT All title, copyright, ownership rights, and intellectual property rights in and to the PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and applets, incorporated into the PRODUCT and its documentation), shall remain in TRIUS, Inc. The PRODUCT is protected by copyright laws and international treaty provisions. You may not copy any printed materials accompanying the PRODUCT.
* WARRANTY DISCLAIMER *
This software and accompanying materials are distributed "AS IS" and without warranty. To the maximum extent permitted by applicable law, the DEVELOPER and its suppliers disclaim any warranty, either express or implied, including but not limited to implied warranties of merchantability and fitness for any particular purpose, with regard to the PRODUCT, the accompanying written materials, and any accompanying software and hardware.
* LIMITATION OF LIABILITY *
To the maximum extent permitted by applicable law, in no event shall the DEVELOPER or anyone involved in the creation, production, or sale of this product be liable for any direct, indirect, consequential, or special damages arising out of any use of the SOFTWARE PRODUCT whatsoever (including without limitation, direct or indirect damages for personal injury, loss of business profits, business interruption, loss of business information, or any other pecuniary loss arising out of the use of or inability to use this PRODUCT), even if the DEVELOPER has been advised of the possibility of such damages. In any case, the DEVELOPER`s and its suppliers` entire liability under any provision of this agreement shall be limited to the purchase price of the PRODUCT.
* GOVERNING LAW *
This agreement is governed by the laws of the United States and the Commowealth of Massachusetts.
* ENTIRE AGREEMENT *
The parties agree that this constitutes the sole and entire agreement of the parties as to the matter set forth herein and supersedes any previous agreements, understandings, and arrangements between parties relating hereto and is effective, valid, and binding upon all the parties.
