ILLUTEL TERMS OF SERVICE YOUR USE OF THE ILLUTEL WEBSITE, QSTREAM SERVICES AND ASSOCIATED ILLUTEL SOFTWARE (THE "SERVICES") IS CONDITIONED UPON YOUR COMPLIANCE AND ACCEPTANCE OF THE FOLLOWING TERMS AND CONDITIONS. PLEASE READ THE FOLLOWING TERMS OF SERVICES CAREFULLY BEFORE USING THE SERVICE. YOU WILL NOT BE PERMITTED TO USE THE SERVICE UNLESS AND UNTIL YOU ACCEPT THIS TERMS OF SERVICES AND ANY OTHER RULES OR POLICIES THAT ILLUTEL MAY CREATE AND MAKE AVAILABLE ON THE ILLUTEL SITE, FROM TIME TO TIME. The services offered at Illutel.com, owned and operated by Qstream AB ("Qstream"), or its suppliers and licensors, are provided to you ("User") under these terms and conditions ("TS"), and any operating rules or policies that may be published by Qstream at www.Illutel.com (the "Illutel Site"). Specifically, these TS describes your right to access and use the Illutel Web Service (the "Service") to conduct or participate in one or more Web Conferences that are hosted through the Illutel Site at www.Illutel.com (the "Customer Site") and its subdomains. 1. DESCRIPTION OF SERVICE 1.1 The Service provides User with a capability to conduct, participate in or observe Web Conferences, including online multimedia presentations. You may also review relevant User Content (as defined herein). 1.2 "User", "you" and "your" refers to the person or entity (including without limitation, the Controller and the Viewers as defined below) intending to use the Service. You represent and warrant that you are authorized to agree to the terms on behalf of yourself and/or the entity that you purport to represent. 1.3 For configuration and registration purposes you agree to provide certain current, complete, and accurate information about you as prompted to do so by the Service. All information requested during your initial sign-up shall be referred to as "Registration Data." If any material Registration Data provided by you is inaccurate, Qstream reserves the right to terminate your right to use the Service after fifteen (15) days written notice to you, provided you have failed to correct such inaccuracy during such period. The foregoing is applicable to either a room or a named user subscription. 1.4 The participation and utilization of the Service is conducted in separate rooms at the Customer Site. The participant conducting the presentation ("Controller") presents the material to be observed in the active room and controls the way the material is presented. The participants viewing the presentation ("Viewers") gains access to the presentation by registering at the Customer Site through a password assigned by the Controller. The amount of rooms available is depending on the subscription service edition selected. The amount of concurrent users each room can host is depending on the subscription service edition selected. 1.5 Upon either the natural expiration of your subscription or upon termination of the Service, access to the Service and any archived recordings will no longer be available to you. 2. LICENSE GRANT AND RESTRICTIONS 2.1 While accessing and using the Services you are granted a non-exclusive, limited right to use the Illutel Software solely as part of the utilization of the Service. "Illutel Software" means the Qstream proprietary software program or programs, any software programs licensed by Qstream from a third party and any modified, updated, or enhanced versions of such programs that Qstream may provide to you as a part of the Service or as part of a separate maintenance and support agreement. 2.2 You may not rent, lease, grant a security interest in, or otherwise transfer any rights you have in the use of the Service. You are prohibited from reselling or acting as a service bureau for any of the Services provided by Qstream or any third party. 2.3 You are also prohibited from copying, reverse - engineering, modifying, decompiling, disassembling, translating or otherwise attempting to derive source code from any part of the Customer Site, including the Service and the Illutel Software. 3. SUBSCRIPTION FEES You subscribe for the Service on a per month basis. The subscription price is depending on the subscription service edition you select and based on the amount of rooms available under each edition. You shall pay the subscription fee stipulated by Qstream from time to time, or, if the Service is distributed through a Qstream distributor or reseller, the fee stipulated by such distributor or reseller. Any payment by you pursuant to these TS shall be made according to Qstreams or, as the case may be, Qstreams distributors or resellers, reasonable payment instruction in effect from time to time. 4. PROPRIETARY RIGHTS 4.1 All content on the Illutel Site is protected by copyright and you are prohibited from creating derivative works of, transmitting, reproducing, distributing, publicly displaying, modifying or using any of the content of the Illutel Site without Illutels specific, prior written consent. Illutel and its licensors retain all rights to the Service including but not limited to the Illutel Software. 4.2 All graphics, logos, service marks, and trade names, including third-party names, product names, and brand names (collectively, the Marks") used on the Illutel Site are the trademarks of Qstream or the applicable third parties. You are prohibited from using any Marks without the prior written permission of Qstream or the third party that owns the Marks. 5. USER CONTENT 5.1 If, in the process of using the Service, you upload, record or otherwise transmit any content, including but not limited to photographs, caricatures, illustrations, designs, icons, articles, text, audio clips, and video clips (collectively, "User Content") through the Service, you represent and warrant that: (i) you are the owner or licensee of any and all User Content; (ii) you, and not Qstream, are solely responsible for the User Content that you upload, record or otherwise transmits via the Service; and (iii) you acknowledge and agree that Qstream does not guarantees the accuracy, integrity, security or quality of such User Content. 5.2 You will not upload, record or otherwise transmit User Content that: (i) infringes any third partys copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (ii) violates any law, statute, ordinance or regulation (including without limitation the laws and regulations governing export control, unfair competition, anti-discrimination or false advertising); (iii) is defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (iv) is obscene, harmful to minors or child pornographic; (v) contains any viruses, Trojan horses, worms, time bombs or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; or (vi) is materially false, misleading or inaccurate. 5.3 You understand that by using the Customer Site, you may be exposed to User Content that is offensive, indecent or a violation of individuals` or organizations proprietary rights. Under no circumstances will Qstream be liable for any User Content posted, emailed or otherwise transmitted via the Customer Site. 6. SECURITY Qstream utilizes industry-accepted measures and standards to maintain the security and confidentiality of User Content and your personally identifiable information. Specifically, Qstream hosts User Content on a server that is secured by an authentication scheme and a firewall. You acknowledge and agree that, due to the inherent qualities of the Internet, Qstream cannot prevent and, therefore, is not responsible for inadvertent security breaches, nor is Qstream responsible for your failure to maintain the confidentiality of your account information and/or password. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to immediately notify Qstream of any unauthorized use of your account or any other known breach of security. 7. USER CONDUCT 7.1 Your use of the Service is subject to all applicable laws and regulations. You agree to: (1) not to use the Service for illegal purposes; (2) not to interfere or disrupt networks connected to the Service; (3) to comply with all law, regulations, applicable to the Service; (4) not use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity that is not a user of the Service any directory of Illutels users or other user or usage information or any portion thereof other than in the context of your use of the Service as permitted under the TS; (5) not interfere with or disrupt networks connected to the Service or violate the regulations, policies or procedures of such networks; and, (6) not attempt to gain unauthorized access to the Service, the Illutel Software, other accounts, computer systems or networks connected to the Service, through password mining or any other means, 7.2 Upon notice to User, Qstream may, at its reasonable discretion, take any reasonable action Qstream deems necessary, if Qstream reasonably believes a Users conduct fails to conform with these terms and conditions or may create liability for Qstream, its partners, its suppliers, or other users. 8. INDEMNITY BY USER You agree to defend, indemnify and hold harmless Qstream, and its subsidiaries, affiliates, officers, employees, consultants and agents from any and all third party claims, liabilities, damages and/or costs (including, but not limited to, attorney fees) due to or arising directly out of your violation of this agreement or the infringement or violation by you (or any other user of your account), of any intellectual property or other right of any person or entity. 9. NO WARRANTY YOU UNDERSTAND AND AGREE THAT THE SERVICES ARE PROVIDED "AS IS," WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. QSTREAM AND ITS SUBSIDIARIES, AFFILIATES, SUPPLIERS, LICENSORS, AND RESELLERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT WITH RESPECT TO ALL OF THE FOREGOING. QSTREAM AND ITS SUPPLIERS, LICENSORS AND SERVICE PROVIDERS DO NOT WARRANT THAT USE OF THE SERVICE OR THE CUSTOMER SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT MESSAGES OR REQUESTS WILL BE DELIVERED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE, CUSTOMER SITE, SITE CONTENT, USER CONTENT OR THE SERVER THAT MAKES THE SERVICE AND THE CUSTOMER SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES SO THE FOREGOING DISCLAIMER MAY NOT APPLY TO YOU. 10. LIMITATION OF LIABILITY In no event will Qstream, its subsidiaries, affiliates, suppliers, licensors, or other third parties identified on the Illutel Site be liable for any damages whatsoever, including but not limited to, direct, indirect, incidental, punitive, or consequential damages (including without limitation, those resulting from cost of substitute goods, lost profits, lost data or business interruption) arising out of the use, inability to use, or the results of use of the Service, the Customer Site, any Web sites linked to the Illutel Site, the materials or information contained at any or all such sites, or the materials, products or services offered on the Illutel Site or sites linked to the Illutel Site, whether based on warranty, contract, tort (including negligence) or any other legal theory and whether or not advised of the possibility of such damages. In no event will Qstream, its affiliates, suppliers, or any other party involved in creating, producing, or delivering the Service or the Customer Site be liable to you in any manner whatsoever for any decision made or action or inaction by you in reliance upon information provided through the Service or the Customer Site. Notwithstanding the failure of any limited remedy of its essential purpose, the aggregate liability of Qstream arising from or relating to this TS, regardless of the form of action or claim, (e.g., contract, warranty, tort, strict liability, negligence, fraud or other legal theory) is limited to the purchase price of any Services that you purchased in the relevant transaction. Applicable law may not allow the exclusion or limitation of damages, so the above limitation or exclusion may not apply to you. 11. TERMINATION In the event of a material breach of the TS by User, Qstream may immediately restrict, or suspend for a period of not longer than five (5) business days, provided that Qstream provides written notice to Customer upon imposing such restriction or suspension. In the event Users breach has not been cured during such five (5) day period, Qstream may terminate your user name and password, without any liability whatsoever. Qstream shall immediately remove any suspension or restriction upon Users cure of the material breach. 12. CHANGES TO TERMS AND USER INFORMATION Qstream may, at any time, revise these TS by posting amended terms on the Illutel Site. All amended terms shall automatically become effective ten (10) days after they are posted on the Illutel Site. By using the Service after such revised TS terms are posted you agree to be bound by any such revision(s) and, therefore, you should periodically visit the Illutel Site to examine the then-current Terms of Service to which you are bound. 13. GENERAL 13.1 Governing Law: These TS shall be governed by and construed in accordance with the laws of Sweden, without giving effect to the conflict-of-law provisions. 13.2 Miscellaneous: If any provision(s) of these TS is found to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. Qstream failure to exercise or enforce any right or provision of these TS shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Qstream in writing. You and Qstream agree that any claim or cause of action arising out of or related to this TS, the Service, or the Customer Site must commence within one (1) year after the cause of action arose. 13.3 Force/Majeure: A party will not be liable for non-performance or delay in performance (other than of obligations regarding payment of money or confidentiality) caused by any event reasonably beyond the control of such party including, but not limited to wars, hostilities, revolutions, riots, civil commotion, national emergency, epidemics, fire, flood, earthquake, force of nature, explosion, embargo, or any act of God. 13.4 Notices: Qstream shall have the right to provide notices to you by fax, mail, personal delivery or email to you.
