The Performance Orgaiser End User License Agreement
END-USER LICENSE AGREEMENT FOR JIT Software Limited, Performance Organiser
IMPORTANT-READ CAREFULLY: This JIT Software End-User License
Agreement ("EULA") is a legal agreement between you (either an
individual or a single entity) and JIT Software Limited for the
Performance Organiser identified above, which includes
computer software and may include associated media, printed
materials, and "online" or electronic documentation.
Any software provided along with the THE PERFORMANCE ORGANISER
that is associated with a separate end-user license agreement is
licensed to you under the terms of that license agreement. By
installing, copying, downloading, accessing or otherwise using the
THE PERFORMANCE ORGANISER, you agree to be bound by the terms of this EULA.
If you do not agree to the terms of this EULA, do not install or use
the THE PERFORMANCE ORGANISER; you may, however, return it to your place of
purchase for a full refund.
THE PERFORMANCE ORGANISER LICENSE
The THE PERFORMANCE ORGANISER is protected by copyright laws and international
copyright treaties, as well as other intellectual property laws and
treaties. The THE PERFORMANCE ORGANISER is licensed, not sold.
1. GRANT OF LICENSE. This EULA grants you the following
non-exclusive rights:
* The Performance Organiser. You may install and use the enclosed SOFTWARE
PRODUCT on your computers to design, develop, organisation models.
* Report Files. You may modify the report files located in the
THE PERFORMANCE ORGANISER`s installation directory to design,
and modify your model. You may also reproduce and
distribute the Report Files along with any
modifications you make to the Report Files
* JIT Software Limited reserves all rights not expressly granted to you.
2. COPYRIGHT. All rights, title, and copyrights in and to the
Performance Organiser (including, but not limited to, any images,
photographs, animations, video, audio, music, text, and "applets"
incorporated into the Performance Organiser) and any copies of the
THE PERFORMANCE ORGANISER are owned by JIT Software or its suppliers. You may
not copy the printed materials, if any, accompanying the Performance Organiser.
3. PRERELEASE CODE. The Performance Organiser may contain PRERELEASE
CODE that is not at the level of performance and compatibility of the
final, generally available, product offering. These portions of the
Performance Organiser may not operate correctly and may be substantially
modified prior to first commercial shipment. JIT Software Limited is not
obligated to make this or any later version of the Performance Organiser
commercially available.
4. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
* Limitations on Reverse-Engineering, Decompilation, and Disassembly.
You may not reverse-engineer, decompile, or disassemble the Performance Organiser, except and only to the extent that such activity is expressly
permitted by applicable law notwithstanding this limitation.
* Rental. You may not rent or lease the Performance Organiser.
* Software Transfer. You may permanently transfer all of your rights
under this EULA, provided you retain no copies, you transfer all of
the Performance Organiser (including all component parts, the media and
printed materials, any upgrades, this EULA, and, if applicable, the
Certificate of Authenticity), and the recipient agrees to the terms
of this EULA. If the Performance Organiser is an upgrade, any transfer
must include all prior versions of the Performance Organiser.
* Support Services. JIT Software Limited may provide you with support services
related to the Performance Organiser ("Support Services"). Use of Support
Services is governed by the JIT Software Limited polices and programs described
in the user manual, in "on line" documentation and/or other
JIT Software Limited provided materials. Any supplemental software code provided
to you as part of the Support Services shall be considered part of
the Performance Organiser and subject to the terms and conditions of
this EULA. With respect to technical information you provide to
JIT Software Limited as part of the Support Services, JIT Software Limited may use such information for its business purposes, including for product support
and development. JIT Software Limited will not utilize such technical
information in a form that personally identifies you.
* Trademarks. This EULA does not grant you any rights in
connection with any trademarks or service marks of JIT Software Limited.
* Termination. Without prejudice to any other rights, JIT Software Limited may
terminate this EULA if you fail to comply with the terms and
conditions of this EULA. In such event, you must destroy all copies
of the Performance Organiser and all of its component parts.
5. EXPORT RESTRICTIONS. You agree that neither you nor your
customers intend to or will, directly or indirectly, export or
transmit (a) the Performance Organiser or related documentation and
technical data, or (b) your Application as described in Section 1
of this EULA (or any part thereof), or process, or service that is
the direct product of the Performance Organiser to any country to which
such export or transmission is restricted by any applicable U.K.
regulation or statute, without the prior written consent, if
required, of the Department for Trade and Industry of the U.K.
government, or such other governmental entity as may
have jurisdiction over such export or transmission.
7. NO WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW,
JIT SOFTWARE LIMITED AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES AND
CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED
TO, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD
TO THE Performance Organiser, AND THE PROVISION OF OR FAILURE TO PROVIDE
SUPPORT SERVICES. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL
RIGHTS. YOU MAY HAVE OTHERS, WHICH VARY FROM STATE/JURISDICTION
TO STATE/JURISDICTION. THE ENTIRE RISK ARISING OUT OF USE OR
PERFORMANCE OF THE THE PERFORMANCE ORGANISER REMAINS WITH YOU.
8. LIMITATION OF LIABILITY. LIMITATION OF LIABILITY. TO THE
MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
JIT SOFTWARE LIMITED OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL,
INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT
LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS
INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY
LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE
PRODUCT OR THE FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF
JIT SOFTWARE LIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY CASE, JIT SOFTWARE LIMITED`S ENTIRE LIABILITY UNDER ANY PROVISION OF
THIS EULA SHALL BE LIMITED TO THE GREATER OF THE AMOUNT
ACTUALLY PAID BY YOU FOR THE THE PERFORMANCE ORGANISER OR U.S.$5.00;
PROVIDED, HOWEVER, IF YOU HAVE ENTERED INTO A JIT SOFTWARE LIMITED SUPPORT
SERVICES AGREEMENT, JIT SOFTWARE LIMITED`S ENTIRE LIABILITY REGARDING
SUPPORT SERVICES SHALL BE GOVERNED BY THE TERMS OF THAT
AGREEMENT. BECAUSE SOME STATES/JURISDICTIONS DO NOT
ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, THE ABOVE
LIMITATION MAY NOT APPLY TO YOU.
MISCELLANEOUS
If you acquired this product in the United States, this EULA is
governed by the laws of the State of Washington.
If you acquired this product in Canada, this EULA is governed by the
laws of the Province of Ontario, Canada. Each of the parties hereto
irrevocably attorns to the jurisdiction of the courts of the Province
of Ontario and further agrees to commence any litigation that may
arise hereunder in the courts located in the Judicial District of
York, Province of Ontario.
If this product was acquired outside the United States, local law may

La présente Convention est régie par les lois de la
province d`Ontario, Canada. Chacune des parties
à la présente reconnaît irrévocablement la compétence
des tribunaux de la province d`Ontario et consent à instituer
tout litige qui pourrait découler de la présente auprès
des tribunaux situés dans le district judiciaire
de York, province d`Ontario.
