This ContraVirus End-User License Agreement ("EULA") is a legal agreement between you (either an individual person or a single legal entity, who will be referred to in this EULA as "You") and Contra-Virus.com for the ContraVirus software product that accompanies this EULA, including any associated media, printed materials and electronic documentation (the "Software"). The Software also includes any software updates, add-on components, web services and/or supplements that Contra-Virus.com may provide to You or make available to You after the date You obtain your initial copy of the Software to the extent that such items are not accompanied by a separate license agreement or terms of use. By installing, copying, downloading, accessing or otherwise using the Software, You agree to be bound by the terms of this EULA. If You do not agree to the terms of this EULA, do not install, access or use the Software.
1. License
A. The Software is protected by intellectual property laws and treaties. The Software is licensed, not sold.
Contra-Virus.com, Ltd. is willing to license the enclosed Software to You only on the condition that you accept all of the terms in this EULA. If you are an employee or agent of a company (the “Company”) and are entering into this agreement to obtain the software for use by the Company for its own business purposes, You hereby agree that You enter into this agreement on behalf of the company and that You have the authority to bind the Company to the terms and conditions of this agreement.
B. The Software is licensed, not sold, to You for your use only under the terms of this EULA, and Contra-Virus.com reserves all rights not expressly granted to You. You own the media, if any, on which the Software is recorded, but Contra-Virus.com retains ownership of all copies of the Software itself. You acknowledge that the License granted by Clause 1.A does not make you the owner of the Software nor does it cause any transfer or assignment of any copyright or any other intellectual or industrial property rights subsisting in the Software to You.
2. Restrictions
A. General License Grant to Install and User Software. You may install and use one copy of the Software on a single computer. You can share a copy of the Software installed on a common build/test machine provided that You or your entity has purchased a single license for that common build/test machine and each developer using it has a license. In all cases, a license for the Software may not be shared, leased, transferred, distributed or published. You may make one copy of the Software only for backup and archival purposes, provided that You reproduce all copyright and other proprietary notices that are on the original copy of the Software.
B. Limitations on Reverse Engineering, De-compilation, and Disassembly. You may not modify, reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by Contra-Virus.com and applicable law. The Software is licensed as a single product. Except with respect to the Redistributables, its component parts may not be separated for use on more than one computer.
C. Not for Resale Software. If the Software is labeled “Not for Resale” or “NFR” or “Evaluation Copy” or “30 Day Complimentary,” then, notwithstanding other sections of this EULA, you may not use the Software for commercial purposes nor sell, or otherwise transfer it for value. Commercial purposes include the use of the Software to create publicly distributed computer software.
D. You may not remove, modify or alter any Contra-Virus.com copyright or trademark notice from any part of the Software, including but not limited to any such notices contained in the physical and/or electronic media or documentation, in the ContraVirus Setup Wizard dialogue or ‘about’ boxes, in any of the runtime resources and/or in any web-presence or web-enabled notices, code or other embodiments originally contained in or otherwise created by the Software.
3. Warranty
A. You hereby acknowledge that the Software cannot be guaranteed error free and further acknowledge that the existence of any such errors shall not constitute a breach of this license agreement by Contra-Virus.com. In particular, Contra-Virus.com does not guarantee that the Software will detect and/or remove all Spyware, adware, malware, Trojans, keyloggers and trackware, or locate all browser infections and tracking cookies on your computer.
You acknowledge that your use of the Software may remove or disable other programs from your computer, including software that may or may not be "Spyware," and You agree that Contra-Virus.com shall not be responsible for such removal or disabling or the results of such removal or disabling. You are solely responsible for selecting which programs the Software removes from your computer
You further acknowledge that the Software will seek to remove codes such as Spyware, Adware and Malware, and that in some circumstances removal of that code may result in you breaching a licence to use the host software which installed that code or certain host programs to cease operating. You agree to consult the terms of any license agreement for the host program before authorising the removal of any Spyware or Adware associated with that program.
B. Under no circumstances will Contra-Virus.com, its licensors or its or their related companies be liable to You for any direct, consequential, indirect or special, punitive or incidental dama Contra-Virus.com, whether foreseeable or unforeseeable, based on Your claims or the claims of any Third Party, whether based on this EULA, any commitment performed or undertaken under on or in connection with this EULA or otherwise, except only in the case of personal injury where and to the extent that applicable law requires such liability.
4. Upgrades
From time to time, Contra-Virus.com may make new releases, revisions or enhancement to the Software ("Updates") available to You. If the Software is labeled or otherwise identified by Contra-Virus.com as an “upgrade” or “subscription,” you must be properly licensed to use a product identified by Contra-Virus.com as being eligible for the upgrade in order to use the Software. A Software, labeled or otherwise identified by Contra-Virus.com as an upgrade, replaces and/or supplements the product that formed the basis for your eligibility for such upgrade. You may use the resulting upgraded product only in accordance with the terms of this EULA. If the Software is an upgrade of a component of a package of software programs that you licensed as a single product, the Software may be used and transferred only as part of that single product package and may not be separated for use on more than one computer.
5. Copyright and Trade Marks
You acknowledge that the Software and all related products (including but not limited to computer manuals and computer literature) ("Products") are the subject of copyright. You therefore, shall not during or any time after the expiry or termination of this license, permit any act which infrin Contra-Virus.com that copyright and, without limiting the generality of the foregoing, You specifically acknowledge that you may not copy the Software or Products except as otherwise expressly authorised by this agreement.
You shall indemnify Contra-Virus.com fully against all liabilities, costs and expenses which Contra-Virus.com may incur to a third party as a result of Your breach of the copyright and Trade Mark provisions of this agreement.
