DISTRIBUTION AGREEMENT

THIS AGREEMENT is entered into as of September 15th, 2008 ("Effective Date"), by and between Buffalo Creek Ent., L.L.C., a Colorado limited liability company - principal office located at 1649 S. Kearney St., Denver, CO 80224, PH: 303-504-0371, Fax: 303-648-4339, Contact and email: Keith Puckett, kyp26@comcast.net ("BCE"), and ____________ ("Licensee").

WHEREAS, BCE has the right to license certain software specified below as Software Product(s); and

WHEREAS, the parties desire that BCE license to Licensee the rights to market and distribute the Software Product(s) over the Internet through Licensee`s web site as specified herein, subject to the terms and conditions hereof;

NOW, THEREFORE, in consideration of the foregoing, and in reliance on the mutual agreements contained herein, the parties agree as follows:

1. Definitions.

1.1 "Software Product(s)." All computer programs and related documentation produced, owned, and/or licensed by BCE in object code form only, as specified on Exhibit A. Software Product(s) include any Updates provided by BCE hereunder.

1.2 "Update." A release of the Software Product(s) which is developed and designated by BCE as a change in the tenths digit in the version number [x.(x).x].

1.3 "Licensee Site(s)." Licensee`s Internet web site(s) located at www.applypoint.com and www.credit-ace.com, and any Licensee mirror site or derivative site.

1.4 "Resellers." Companies or organizations that distribute software products to end-users.

1.5 "BCE Branding Features." BCE`s proprietary trade names, service marks, trademarks, logos, and indicia of origin and other distinctive branding features as specified on Exhibit A.

1.6 "Licensee Branding Features." Licensee`s proprietary trade names, service marks, trademarks, logos, and indicia of origin and other distinctive branding features .
