LICENSE AND DISTRIBUTION AGREEMENT (iBlue A subsidiary from Bird ICT)

This License and Distribution Agreement ("Agreement") is made effective as of the Effective Date, by and between iBlue A subsidiary from Bird ICT, a Cairo Based corporation, with offices at 19 Saad Zaghlool, Ramel Station ("Bird ICT"), and the individual or entity who agrees and accepts the following terms and conditions by executing this Agreement as described below ("Licensee").

The parties agree as follows:

1. DEFINITIONS

(a) "iBlue LonArm Desktop for Windows" means the Demo/commercial release version of iBlue LongArm for Windows software that (i) iBlue makes available independently for Windows operating systems software and (ii) was validly licensed by you for development use. iBlue LongArm Desktop is comprised of the following components, in object code only: (x) the core cabinet file "setup.exe" which includes iBlue Bluetooth Marketing, Bluetooth Adverting ("Core Components"); (y) iBlue Character Animation Data and Image Files ("Character Components"); and (z) Foreign Language Component .DLL files ("Foreign Language Components").

(b) "Licensee Product" means Licensee’s applications, web pages, scripts or programs that (i) use iBlue LongArm Desktop in iBlue Windows operating system platforms: iBlue Windows XP, Windows Vista and Windows 7.

(c) "Effective Date" means the date Licensee accepts the terms and conditions of this Agreement as described below.

2. LICENSE GRANT AND CONDITIONS

2.1 iBlue LongArm Desktop License. Your use of iBlue LongArm Desktop is subject to (i) the terms and conditions of the End User License Agreement for iBlue LongArm Desktop ("iBlue LongArm Desktop EULA"), a copy of which is found on our website www.goiBlue.com (ii) the additional terms and conditions set forth in this Agreement.
