DISTRIBUTION LICENSE AGREEMENT

PERMITTED USES. Distributor may:
•Download the Software along with the installer from ADRIANSOFT’s Internet Web site
•Copy the Software in the form downloaded (i.e. uninstalled) onto the CD-ROMs identified in the Schedule attached to this Agreement.
•Distribute the CD-ROMs containing the Software (along with the installer) as described in the Schedule attached to this Agreement.
NONPERMITTED USES. Distributor may not:
• Use the Software without first accepting the terms and conditions of the Software(s) End User License Agreement presented prior to installing the Software.
• Download or copy the Software without also downloading and copying the installer therein .
• Download or copy only a portion of the Software.
• Copy or distribute the Software without the installer.
• Rent, lease, lend, sell, transmit, or charge a fee for the Software.
• Alter, adapt, translate, decompile, disassemble, reverse engineer or otherwise attempt to discover the source code or underlying ideas, sequence, structure organization or algorithms of the Software, create derivative works based upon the Software or attempt or permit third parties to do so, except to the extent the foregoing restriction is expressly prohibited by applicable law.
• Remove, modify or obscure any copyright, trademark, and/or any other proprietary notices contained in or on the Software.
